Terms of service

These Terms of Service (“Terms”) are a legal agreement between you and Logisafepro Inc., d/b/a NeuroMirror (“NeuroMirror,” “we,” “us,” or “our”), governing your access to and use of our websites, software, mobile/desktop applications, portals, dashboards, and related services, including the NeuroLoop Engine (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms and to our [Privacy Policy]. If you do not agree, do not use the Service.

1) Who may use the Service

You must be 18 or older (or the age of majority in your jurisdiction) to create an account. Accounts for minors may be created only by a parent or legal guardian or by an authorized institution (e.g., clinic, school) with the legally required consents.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2) Not medical care; emergencies

The Service is not a medical device cleared or approved by the U.S. FDA at this time and does not provide medical diagnosis or treatment. Any insights, scores, or recommendations are informational/therapeutic-support tools only and do not replace professional judgment.
Do not use the Service for emergencies. If you believe someone is at risk, call 911 or your local emergency number.

Research use: If you are participating in an IRB-approved study, your Informed Consent Form (ICF) and study protocol govern and will control in case of conflict with these Terms.

3) Accounts and security

You must provide accurate registration information and keep it updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4) Permitted use & restrictions

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose.

You may not:

reverse engineer, decompile, or attempt to extract source code;
circumvent security, rate limits, or access controls;
use the Service to collect or process data unlawfully or in violation of privacy rights;
upload malicious code or interfere with the Service’s operation;
use the Service to create a competing product;
use the Service in any way that violates applicable law or these Terms.

We may monitor usage to protect users, ensure quality, and enforce these Terms.

5) User content & data

User Content. You may submit text, audio, video, images, and other materials (“User Content”). You retain ownership of your User Content. You grant NeuroMirror a worldwide, royalty-free license to host, process, display, and create derivative works solely to provide and improve the Service (including model training and quality assurance in a privacy-preserving manner as described in our Privacy Policy).
De-identification. We aim to de-identify or pseudonymize personal information where feasible and maintain appropriate security measures. See the Privacy Policy for details on HIPAA alignment, data retention, and your choices.
BAA. NeuroMirror is not a HIPAA “Covered Entity.” If a Covered Entity (e.g., provider, clinic, school district health program) wishes to use the Service with Protected Health Information (PHI), a Business Associate Agreement may be required; contact [email protected].

6) Clinical and caregiver portals

Parent/Caregiver Portal provides progress views, engagement summaries, and educational content. It is informational and does not replace a clinician’s evaluation.
Therapist/Provider Portal may surface session metrics and observational inputs to support care planning. Providers are solely responsible for clinical decisions and documentation outside the Service.

7) Payments, subscriptions, and trials

Some features require a paid subscription or institutional license.

Billing. By starting a paid plan, you authorize us (and our payment processors) to charge your payment method for fees, taxes, and any recurring charges.
Auto-renewal. Subscriptions renew automatically unless canceled before the renewal date.
Cancellations/Refunds. You may cancel at any time; access continues until the end of the paid term. Partial-period refunds are not offered unless required by law or a written agreement states otherwise.
Trials & promos. If we offer a free trial, charges begin when the trial ends unless you cancel.

Institutional contracts (e.g., clinics, schools) may include separate pricing and terms that supersede this Section.

8) Beta features

We may offer beta or early-access features. They are provided “as is,” may be modified or discontinued at any time, and may have additional risks or limitations.

9) Intellectual property

The Service, including the NeuroLoop Engine, algorithms, dashboards, designs, logos (e.g., NeuroMirror), and all related intellectual property are owned by NeuroMirror or its licensors and are protected by law. Except for the limited license in Section 4, no rights are granted to you.

If you send us ideas or suggestions (“Feedback”), you grant us a perpetual, irrevocable, royalty-free license to use the Feedback for any purpose without restriction or compensation.

10) Third-party services & links

The Service may integrate with or link to third-party products or content. We are not responsible for third-party services, their terms, or privacy practices. Your use of them is at your discretion.

11) Service changes; availability

We may modify, suspend, or discontinue the Service (or any part) with or without notice. We are not liable for any such changes. We aim for high availability but uptime is not guaranteed.

12) Warranties and disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY. WE DO NOT WARRANT THAT RESULTS WILL BE ERROR-FREE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE.

13) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEUROMIRROR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the fullest extent permitted.

14) Indemnification

You agree to defend, indemnify, and hold harmless NeuroMirror from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from:

(a) your use of the Service; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your infringement of any third-party rights.

15) Dispute resolution; arbitration (U.S.)

Governing law: New York, without regard to conflicts principles.

Venue: State and federal courts located in New York, NY (New York County), unless arbitration applies.

Arbitration/Class Waiver. Any dispute arising from these Terms or the Service will be resolved by binding arbitration administered by JAMS under its Rules. Class actions and jury trials are waived. You may bring an individual claim in small-claims court in your county of residence (or New York County) instead of arbitration. This Section does not apply where prohibited by law.

16) Export and sanctions

You may not use the Service if you are located in, or are a resident of, a country or region subject to U.S. embargoes/sanctions, or if you are on any U.S. government restricted list. You agree to comply with all export control laws.

17) Children’s privacy

We do not knowingly collect personal information directly from children under 13 without verifiable parental consent. Parents/guardians control child profiles and can request access or deletion as described in the Privacy Policy.

18) Communications; E-sign

By providing contact information, you consent to receive service, security, and account communications (email/SMS). You may opt out of non-essential marketing messages. You consent to electronic signatures and records.

19) Termination

You may stop using the Service at any time. We may suspend or terminate access immediately if you violate these Terms or if we must comply with law. Upon termination, your right to use the Service ends, but the following survive: Sections 9–16, 18–21.

20) Changes to these Terms

We may update these Terms from time to time. The “Last updated” date will change. Material changes will be posted, and continued use after changes means you accept the new Terms.

Addenda (if applicable)

A. Institutional Agreements. If you are a clinic, school, or provider organization, a separate Order Form / MSA / BAA may apply. That agreement will control in case of conflict with these Terms.

B. App Store Terms. If you download a mobile app version, your use is also subject to the Apple App Store or Google Play terms; those marketplaces are not responsible for support or legal claims relating to the app.
